- The company or LLP must have been in business at the time it was dissolved.
- The application must be made within 6 years of the dissolution date.
- Only a director, shareholder, guarantor, or partner at the time of dissolution can apply.
Court Order Restoration
For companies that were dissolved by directors or a liquidator, or voluntarily struck off, the restoration process must go through the courts. This applies to companies that were struck off after filing a DS01 (or LLDS01 for LLPs) or those that underwent formal liquidation.
Applications for court order restoration can be made by:
- Former directors, shareholders, or guarantors.
- Trustees of employee pension funds.
- Creditors or those with a shared interest in property.
While the process is straightforward, it usually takes 4–5 months to receive a court order. In many cases, the application can be handled without a formal court hearing.
